Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Coqui Bot ("Coqui," "we," "us," or "our"), a managed AI agent hosting platform operated from Newburgh, New York. By creating an account, subscribing to a plan, or otherwise accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By accessing or using Coqui ("the Service"), you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to comply with these Terms and all applicable laws and regulations.

We reserve the right to update these Terms at any time. Changes will be communicated via email or a notice on the website. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

Coqui provides managed hosting for AI agent instances built on the open-source Coqui Bot framework. Specifically, our services include:

  • Provisioning and managing dedicated virtual machine instances on Vultr infrastructure
  • Automated deployment of the Coqui Bot software and dependencies
  • DNS configuration and subdomain assignment for your instance
  • REST API access to your agent on port 3300
  • Monitoring, metrics, and instance management tools via the dashboard
  • Secure sandboxed execution with configurable allowlists and safety layers

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

Access to Coqui requires authentication via GitHub OAuth. You are responsible for maintaining the security of your GitHub account, and any actions taken under your account are your responsibility.

3.2 Account Responsibilities

  • You must provide accurate and complete information when creating your account.
  • You are solely responsible for all activity that occurs under your account.
  • You must promptly notify us of any unauthorized account access.
  • You may not share your account credentials or allow others to access your account.
  • Each account is limited to one active subscription at a time.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise abuse the Service.

4. Billing and Payment

4.1 Subscription Plans

Coqui offers monthly subscription plans billed in advance. Pricing for each plan is displayed on our Pricing page. All prices are in United States Dollars (USD).

4.2 Payment Processing

All billing and payment processing is handled by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring monthly basis. You agree to Stripe's Services Agreement and Privacy Policy. We do not store your full payment card details on our servers.

4.3 No Refund Policy

All sales are final. We do not offer refunds for any subscription fees, partial-month usage, or unused periods. If you cancel your subscription, you will retain access to your instance until the end of your current billing period. No credits or refunds will be issued for cancellations made before the end of a billing period.

4.4 Failed Payments

If your payment fails, we will attempt to notify you via email. Continued failure to pay may result in suspension or termination of your instance and any associated data. We are not liable for any data loss resulting from non-payment.

4.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes affecting active subscriptions will be communicated with at least 30 days' advance notice.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful purposes consistent with these Terms, including personal projects, development, research, and legitimate business applications that leverage AI agent capabilities.

5.2 Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Generate, distribute, or store unlawful, harmful, hateful, or defamatory content
  • Engage in spam, phishing, or any form of fraudulent activity
  • Conduct denial-of-service attacks, port scanning, or network intrusion against any system
  • Mine cryptocurrency or conduct any activity that places unreasonable load on shared infrastructure
  • Attempt to circumvent safety, rate-limiting, or access control mechanisms of the Service
  • Infringe upon the intellectual property rights of third parties
  • Harass, abuse, or threaten other users or employees
  • Attempt to gain unauthorized access to any other account or system
  • Resell or sublicense access to the Service without prior written consent

5.3 AI Usage Policies

You are responsible for all inputs, outputs, and actions taken by AI agent instances you operate. You must comply with the terms of service of any third-party AI providers (e.g., OpenAI, Anthropic, Google) whose models you configure within your instance.

6. Your Content and Data

6.1 Ownership

You retain all ownership rights to the content, data, configurations, and outputs generated through your use of the Service ("Your Content").

6.2 License to Operate

By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to provide and improve the Service. We do not sell, rent, or share Your Content with third parties except as required to provide the Service (e.g., storing instance data on Vultr infrastructure) or as required by law.

6.3 Data Retention

Upon termination of your subscription, your instance and associated data will be permanently deleted within 30 days. We are not responsible for data loss following account termination. You are responsible for exporting any data you wish to retain before canceling your subscription.

7. Intellectual Property

The Coqui platform, dashboard, branding, and website content are owned by Coqui Bot and protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our proprietary materials without prior written consent.

The open-source Coqui Bot software is licensed separately under its applicable open-source license. Nothing in these Terms limits your rights under that license.

8. Infrastructure and Uptime

We provision instances on Vultr infrastructure and make commercially reasonable efforts to maintain availability. However, we do not guarantee any specific uptime or availability SLA. Service may be interrupted for maintenance, upgrades, or circumstances beyond our control. We are not liable for losses resulting from downtime, outages, or performance degradation.

Our use of Vultr's infrastructure is subject to Vultr's Terms of Service. You agree not to use our Service in any way that would cause us to violate Vultr's acceptable use policies.

9. Termination

You may cancel your subscription at any time through the billing section of your dashboard. Cancellation takes effect at the end of your current billing cycle. No refunds are issued for early cancellation.

We may suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or abusive behavior, or if required by law.

Upon termination, your right to access the Service immediately ceases and your instance data will be scheduled for permanent deletion.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

We do not warrant the accuracy, completeness, or reliability of any AI-generated outputs produced by your agent instances. AI outputs may be incorrect, incomplete, or inappropriate. You are solely responsible for evaluating and acting on any AI-generated content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COQUI BOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, New York.

13. Indemnification

You agree to indemnify, defend, and hold harmless Coqui Bot and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.

14. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Coqui Bot regarding the Service.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
